General Terms & Conditions of Sale

Preamble

THE TALENT ARENA, a limited liability company with capital of 9,000 €, registered with the Trade Registry of Strasbourg under the trade registry number R.C.S. STRASBOURG TI 512 694 035, domiciled: Espace Européen de l'Entreprise - 27 avenue de l'Europe - 67300 SCHILTIGHEIM - FRANCE, offers internet users, via the websites www.leaders.jobs and fr.leaders.jobs, career portals devoted to the professional mobility of executives.

In validating his order, the customer declares that he accepts without reserve the terms of the said order in addition to all of these general terms and conditions of sale.

Article 1: Object

The object of these general terms and conditions of sale is:

the sale of space on the websites www.leaders.jobs and fr.leaders.jobs allowing the advertiser to publish his offers of employment with a minimum annual salary of 75,000 €,

the sale of space on the websites www.leaders.jobs and fr.leaders.jobs allowing recruitment or outplacement firms to promote their businesses by means of an exclusive presentation page in the website's Human Resources directory,

subscription to a CV library assembled through www.leaders.jobs and fr.leaders.jobs,

the sale of space on the sites www.leaders.jobs and/or fr.leaders.jobs allowing the advertiser to promote his business or his activities by means of advertisements displayed in various parts of these websites.

In the absence of provisions to the contrary, all new services offered by the website www.leaders.jobs are also subject to the application of these general terms and conditions of sale.

They apply compulsorily to all of the website's customers including those accessing the website from a country other than France. Users under 18 years are, however, not permitted to use the services provided by leaders.jobs.

Article 2: Limit of services

The direct placement or recruitment of candidates does not constitute part of the services of leaders.jobs.

Moreover, the internet site www.leaders.jobs cannot guarantee that the search for candidates will be successful. It is only bound by an obligation of means and not of performance. This clause applies to all current and future services offered by the said site. The administrators will therefore in no event be responsible if their customers do not achieve their objectives.

Article 3: Validity of electronic exchanges

The customer recognises the validity and probative value of electronic exchanges and material entered electronically on the website www.leaders.jobs and agrees that the said entries have the same probative value as a signed, handwritten document.

Article 4: Responsibility

The customer declares that he accepts the characteristics and the limits of the internet and recognises in particular:

that he is solely responsible for the use he makes of information published online on www.leaders.jobs and fr.leaders.jobs. In consequence the administrators of these sites may not be held civilly responsible to the customer for any direct or indirect injury arising from use of the said information;

that the communication by the customer of personal items of identification or generally speaking of any information judged by him to be confidential is carried out under his own responsibility;

that is the responsibility of the customer to take all measures necessary to ensure that his computer has the requisite technical features for accessing information;

that it is the customer's responsibility to take all measures appropriate to protect his own data and/or software from contamination by any virus that may be infecting the site www.leaders.jobs;

that he is familiar with the internet, in particular with its technical performance and response time for the consultation, search for or transfer of information (the website www.leaders.jobs cannot be held responsible in the event of force majeure or of events outside its control, notably in the event of connection problems or of the unavailability of the internet network);

that he is aware that "computer hacking" is a nuisance which may misappropriate and corrupt the database of the websites www.leaders.jobs and fr.leaders.jobs. Should the case arise, their administrators may not be held responsible for the consequences of fraudulent access to the information they contain. The same applies to any malicious act whether identified or not by the administrators of these said sites;

For all injuries, except in the event of fraud or deliberate fault on its part, the responsibility of the website www.leaders.jobs to the customer to respond, in respect of any guarantee or on any other basis, is limited to the sum actually received by the website www.leaders.jobs, less the total sum of the costs involved in the execution of its service(s) in the course of which the damage implicating its responsibility occurs. Loss of revenue and consequential or potential injury are expressly excluded from any claim for compensation.

Article 5: Undertakings of the customer

The customer undertakes to use in a reasonable manner the products and services to which he has access, and in particular the CV library of www.leaders.jobs and fr.leaders.jobs.

The customer undertakes moreover:

not to create an account in order to promote services in competition with those of the website,
not to use his profile to discredit or threaten third parties,
to observe the duty of confidentiality he may owe to third parties.

Article 6: Pricing

www.leaders.jobs operates a pricing scheme for its services which it reserves the right to modify without notice. Prices are given excluding tax and technical costs, for which there will be an extra charge, if they exist.

Article 7: Methods of payment

Services may be paid for in several ways:

by banker's card*,
by PayPal.

*In supplying his bank details the customer authorises www.leaders.jobs website's payment services provider to debit his credit card.

Article 8: Date of contract validity and withdrawal

If the contract proceedings are conducted via the internet, the contract is immediately effective. In effect, the order placed by the customer is considered as a final sale, as soon as the customer validates the purchase order directly on the website www.leaders.jobs.

In the event of contract proceedings are conducted elsewhere, the contract is deemed to have been concluded when the customer signs the purchase order and delivers it to the administrators of the website www.leaders.jobs, (by hand, by post, by email or by fax).

Article 9: Duration of the contract and extension of services

The contract is entered into for the duration agreed during the choice of service. This duration, which will be indicated on the purchase order, will last between 2 days and 1 year, according to the service chosen.

Extension:
A customer wishing to extend or renew one of the services offered by the site www.leaders.jobs is invite to contact the administrators of the website directly through the "contact" section at least 8 days before the service is due to end. In effect, no renewal of services by tacit agreement is currently planned.

Article 10: Termination of the contract

Use of the services of the website www.leaders.jobs is subject to the observation of current legislation. The website www.leaders.jobs therefore reserves the right to remove without prior notice any message, content, document or subscription to its services that does not comply with the legal obligation of recruiters and advertisers or in the event of failure by a customer to comply with these terms and conditions of sale.

The same applies to information used for the registration of customers. The administrators of the website www.leaders.jobs therefore reserve the right to confirm: identity, position, contact information etc. of customers. Moreover, the law requires that a check be made on the Intracommunitary VAT n° (if it is provided).

As a general rule any content or subscriptions contrary to the financial or moral interests of the site www.leaders.jobs will be automatically removed.

Should the case arise, the administrators of the website www.leaders.jobs will in no event reimburse sums paid by the customer. Moreover, in the event of known fraudulent intentions on the part of the said customer, the administrators of the site will institute civil proceedings against him.

The customer himself may, at any time, by sending an email (go to "contact" section) terminate the contract which binds him to the website www.leaders.jobs. However, no reimbursement will be made to him.

Article 11: Availability of services

The site www.leaders.jobs may be moved to move, switch off, abandon or remove the service which it offers to its customers. According to circumstances, it reserves the option to either terminate the contract or to let it run its course. The customer may contest this within a week of receipt of notification, failing which his consent will be deemed to have been given. Whichever option is chosen, costs for the service will be payable for time actually accrued.

Access to the website www.leaders.jobs is available 24/24h and 7/7 days except in the event of force majeure or of interruptions for maintenance. In the event of difficulty accessing the service, assistance via email is offered in the "contact" section of the site. This assistance is available from 9 am to 6 pm (French time) except on weekends and public holidays.

Article 12: Privacy

The username and password that allow the customer to sign in and access the services offered by the site www.leaders.jobs are personal and confidential. Any operation performed involving use of the customer's username and password is therefore deemed to have been carried out by the customer himself.

The site www.leaders.jobs reserve the option to make changes to customer login information subject to prior notice having been given.

In addition, the services of www.leaders.jobs must only be used by the signatory of the contract, and in no event resold to third parties.

Warning: any attempt to use the same items of personal identification as the customer simultaneously on several computers may lead to the termination of this contract ipso jure and without prior formal notice.

Finally, in the event of theft of items of personal identification, the customer must alert the site administrators by post or by email (go to "contact" section).

Article 13: Computing & civil liberties


Article 14: Complaints

In the event of a complaint in relation to a service of the site www.leaders.jobs, the customer undertakes to contact the administrators directly, by email through the "contact" section of the website, or by post at the following address:

Complaints relating to sums invoiced/debited
Where a complaint concerns sums debited or invoiced, this must be made in writing to the administrators of the website www.leaders.jobs at the latest within the 14 days following the collection of the sums which are the object of the dispute and must have due cause. Failing objections with due cause on the part of the customer within the given time, the sums debited or invoiced will be deemed to have been approved.

Complaints relating to delays in the publishing of purchased services online.
No complaint regarding a delay in the publishing online of services purchased will be admissible unless the following is included in the purchase order "Due date of publication: DD/MM/YYYY, if not the order is to be terminated" or if a deadline has not been given for online publication. The time periods and technical specifications are those specified at the moment of ordering. In the event of non observance of these elements, the administrators of the site may not be held responsible.

Article 15: Settlement of differences

The internet site www.leaders.jobs was created in France. In using leaders.jobs, you accept the general terms and conditions of sale previously cited, without prejudice to any contractual or tort action administrators of the site www.leaders.jobs may take. Should any dispute arise, the parties will strive to reach an amicable solution. The administrators of the website will give their response within a time period of up to one month. Any dispute relative to the interpretation or the execution of a contractual undertaking provided for in this document falls under the exclusive remit of the French courts making French law applicable.

Article 16: Continuing validity

In the eventuality of one of the clauses in these general terms and conditions of sale being revoked, for whatever reason, the validity of the other clauses and conditions in this document will be in no way affected.

The fact that the administrators of the website www.leaders.jobs abstain from claiming or making effective one of the provisions of these general terms and conditions of sale, should not be interpreted as constituting a relinquishment of this provision or right. Neither the relationship between the parties nor business practice may entail modification of any of the provisions of this document.
